Savannah.
Newport.
Bar Harbor.
Historic land.
Long-held brand rights.
One sat on waterfront acreage worth more than hotel operations.
Another held development air rights.
The merger valuation treated them mostly as operating businesses.
Not redevelopment assets.
Camille commissioned independent appraisals.
Difference:
$247 million to $312 million higher combined.
Why undervalue?
Could be conservative valuation.
Could be strategy to make Northcrest deal appear more attractive.
Could be self-dealing if someone planned redevelopment later.
We needed evidence.
One internal model showed post-merger sale of two properties within three years.
At higher projected values.
Who benefited?
New holding company.
Including Blackwood rollover shareholders.
Including my trust too.
So not simple theft.
But control shifted first.
My mother’s veto would disappear.
Then assets could be sold.
If trust wanted heritage preservation, economics alone was not enough.
Mom’s amendment said:
Historic properties shall not be converted solely for short-term premium without beneficiary-informed review.
She cared about buildings.
I had inherited that from her without knowing.
Art history.
Old places.
Preservation.
I laughed when I realized.
Maybe some preferences travel before explanations.
Vivian called the heritage restrictions “sentimental dead weight” in an email.
Ethan replied:
Ava may disagree.
Vivian:
Then don’t show her redevelopment schedule until after consent.
There.
Direct concealment.
Ethan:
That sounds like fraud.
Vivian:
It is sequencing.
He did not reply.
Again he recognized the line.
Again he did not warn me.
Silence became participation slowly.
Naomi said:
“Criminal?”
“Not necessarily.”
“Civil?”
“Potentially.”
“Marriage?”
I looked at her.
“Already dead.”
That was the first time I said it aloud.
I filed for divorce the next morning.
No dramatic ring removal.
