Chapter 13 - THE MERGER RETURNS

Northcrest returned with a revised offer.
Not because everyone forgot.
Because the deal still made business sense.
Camille Reed led negotiation for my trust.
New terms:
The five heritage properties remained outside the merger.
My trust retained direct interests.
Independent management contracts.
No marital board seat.
No Ethan delegation.
Higher valuation for remaining assets.
Stronger employee protections during integration.
Transaction pool reduced.
Conflicted Blackwood payments disclosed.
Vivian received no special consulting fee.
Ethan’s retention package eliminated because he was no longer executive-eligible during criminal and fiduciary review.
Blackwood shareholders hated some changes.
Northcrest accepted because clean governance was worth certainty.
My trust approved.
I voted yes through informed consent.
People expected revenge.
I chose economics with safeguards.
Mom’s five hotels remained protected.
The rest could modernize.
I was not going to preserve every old building because trauma made change feel dangerous.
May you like
Governance is not nostalgia.
That became my first lesson as future Protector.
