Chapter 4 - THE FOLDER ELIAS HANDED ME

The sealed folder contained no secret rescue.
Just title.
That simplicity became important.
Orsini Crescent Holdings LLC was mine.
One hundred percent of voting membership interests.
Held through Marcello Orsini Revocable Trust.
I was settlor.
Trustee.
Current beneficiary.
The trust could be amended.
Revoked.
Changed.
Bianca had no vested present ownership in Crescent.
I had discussed future succession with lawyers.
I had discussed it with Bianca.
I had even told her:
“One day this is yours to deal with.”
That sentence had created confusion.
But no deed.
No assignment.
No gift-tax filing.
No amended operating agreement transferring membership units.
Nothing.
Another property, Harbor Tower, was owned by Orsini Capital LLC.
Also mine.
The restaurant group had outside investors.
I held fifty-eight percent.
Bianca held six percent non-voting shares I gifted her before marriage.
Those shares were hers.
Separate.
The transfer packet lumped all of it together as:
“Bianca’s family empire.”
That was false.
Then my late wife, Celia.
She had died seven years earlier.
Her trust left Bianca:
A brokerage account now worth roughly $620,000.
A fifty-percent interest in a vacation cottage shared with me.
Jewelry.
Personal effects.
No Crescent.
No Harbor Tower.
No restaurant control.
Lenora knew some of that.
Not all.
Where did the forty-eight-million-dollar figure come from?
A two-year-old internal succession scenario.
Not an estate instrument.
A planning presentation.
Scenario C:
If Marcello transfers specified property during life, Bianca and future descendants could ultimately receive a portfolio with projected net value between forty and fifty million.
Draft.
Never approved.
Watermark:
FOR DISCUSSION ONLY.
Gavin had a copy.
May you like
How?
That became the next problem.
