Chapter 8 - The Old Promise

Before the numbers, we found motive.
Giovanni’s deposition from an unrelated business case three years before death included a question about succession.
Counsel asked:
“Will your sons inherit equal control?”
My father answered:
“No.”
“Why?”
“Because equal affection and equal authority are different things.”
Then:
“How will you decide?”
“Operating competence, independence, and whether the next generation can prevent family pressure from destroying professional governance.”
No Emery yet.
Then one year later, after my adoption finalized, he amended.
Not because a child could run companies.
Because he wanted to allocate some future voting power outside Francesca and Dante’s immediate influence.
Why Emery?
A minor cannot scheme for current control.
That may have been point.
Then a private note to Joseph Kline:
If Salvatore dies early, Francesca will try to fold his branch back into hers. Emery needs an independent economic and voting position so she cannot be erased by calling adoption sentiment.
There.
Protective design.
Still no numbers.
Then:
Salvatore should not control her shares alone while she is a minor. Independent custody until majority.
Good.
My father did not fully trust me either.
Healthy sting.
Then another:
Dante may mature. Do not punish him permanently.
Interesting.
A-24 perhaps created rights that could change later.
Then Francesca’s deeper motive appeared in correspondence with Giovanni.
She wrote:
You are placing company influence into the hands of a child who is not biologically ours.
Giovanni responded:
She is Salvatore’s legal daughter and my granddaughter.
Francesca:
Law is not blood.
Giovanni:
Exactly. Blood needs law because blood behaves badly.
I laughed when Malcolm read it.
Then:
If you do this, Dante will lose the division he built.
Giovanni:
Only if he mistakes management for ownership.
There.
Dante read it too.
He did not laugh.
Then Francesca wrote:
Claire is temporary.
My jaw tightened.
Claire had been alive.
Married to me.
Francesca had always resented her but I had not known she wrote that.
Giovanni replied:
Your contempt is exactly why I am doing this.
There.
A-24 was partly a response to Francesca herself.
That explained why she experienced it as betrayal.
Then the board special committee reviewed whether her chair role could continue given hidden Hospitality disclosures and attempts to recapitalize during A-24 dispute.
They did not remove.
They censured her and required co-signature on extraordinary governance actions pending review.
She remained powerful.
Reduced.
She hated it.
Then Francesca sued individual directors.
Not for money primarily.
For exceeding authority.
Court consolidated.
Legal war widened.
Then Dante surprised everyone by refusing to join her suit.
“I’m done being Mom’s exhibit.”
Good.
Then she accused him of switching sides to preserve his job.
Maybe.
Dante said:
“Also true.”
At least honest.
Then Emery had a school Christmas pageant months after original? Timeline maybe not year yet. We can just say spring recital. Avoid seasonal weirdness.
At a spring family day, one relative told her:
“You know you’re rich now?”
I almost removed relative from planet.
Instead:
“Do not discuss money with her.”
Emery asked later:
“Am I rich?”
“You’re five.”
“That not answer.”
“Some adults are arguing about property Grandpa may have left for you.”
“Can buy pony?”
Still no.
She was consistent.
Then:
“Grandma mad because money?”
“Partly.”
“Why not give?”
“Because the adults have to follow what Grandpa legally decided.”
“Grandpa dead.”
“Yes.”
“Then he can’t care.”
Children defeat estate law.
I laughed.
Then she said:
“I care horse.”
That was all.
The rocking horse, now repaired structurally but with visible seam, sat in her room.
No ring inside.
No secret.
Just toy.
Then the final accounting hearing scheduled.
Francesca requested it remain sealed.
Laura agreed to protect Emery’s privacy but not to hide governance consequences from shareholders.
Balanced.
Press would eventually know some.
Then Malcolm warned:
“When number comes, do not react publicly.”
“I won’t.”
Evelyn stared at me.
I had history.
“Fine.”
Then Rafe asked:
“Do you want security increased?”
“No.”
Family tension.
No specific threat.
Do not militarize.
Then one final clue:
The A-24 formula gave Emery “descendant unit” plus a contingent voting proxy that activated only while certain conditions held.
Meaning she might not own a massive permanent controlling block.
Francesca may have been fighting a temporary governance arrangement.
If so, her Christmas cruelty had been even less rational.
Then Malcolm said:
“Tomorrow you will understand exactly what she was afraid of.”
I looked at Emery’s rocking horse from hallway.
A child’s toy had carried the only object needed to prove access.
Not ownership.
Not power.
Access.
