Chapter 13 - The Independent Vote

Two months into my proxy suspension, DeLuca Group faced an extraordinary decision.

A private-equity firm offered to buy our warehouse subsidiary.

Price:

Strong.

Not irresistible.

The sale qualified as extraordinary under A-24.

Emery’s twelve percent voting block mattered.

I could not vote it.

Sterling would.

Francesca opposed sale.

Dante supported.

I supported.

Independent board split.

Then Francesca approached Sterling directly through lawyers with a 60-page argument.

Allowed.

I submitted my own.

No private calls.

Good.

Then Sterling asked:

“Would sale materially affect Emery’s economic interest?”

Yes.

Higher liquidity.

Reduced diversification? Actually sells warehouse asset, distributes some or reinvest. Need valuation.

They hired independent adviser.

Result:

Offer fair but could be improved.

Sterling withheld support.

Transaction stalled.

I was furious.

I thought sale was right.

Could not force.

Then buyer raised price by eight percent.

Sterling supported.

Board approved.

Francesca voted no.

Sale closed months later.

Employees transferred under protections.

No mass layoffs.

The result made one thing undeniable:

Emery’s custodian was not my puppet.

That helped appeal.

It also helped me.

Power I could not use still produced a good outcome.

Then my proxy review.

Board censure remained, but governance adviser reported I had complied fully since incident.

Sterling restored eligibility for future defined matters.

Not automatic vote.

Good.

Then Francesca’s appeal decision came.

A-24 affirmed.

Court found:

Giovanni competent.

Escrow delivery valid.

Conditions satisfied.

Independent custodian structure lawful.

Oral revocation unsupported.

One issue remanded for technical calculation of a small Class B adjustment after warehouse sale, not validity.

Core done.

Francesca could seek higher review.

She did.

Petition later denied.

No dramatic supreme court.

Then she lost legal route.

Not all conflict.

Now family.

Then Francesca finally apologized to Emery.

Not in person.

Letter reviewed by Dr. Kline.

I am sorry I pushed you from the chair and called you something cruel. You are Salvatore’s daughter and Giovanni’s granddaughter. I was angry about adult things and used you to express it. That was wrong.

Good.

Then:

I will not ask you to forgive me.

Good.

No inheritance.

No blame.

Dr. Kline said Emery could choose.

I read aloud.

Emery listened.

Then:

“Grandma mean now?”

“I don’t know. The letter is good.”

“Can keep?”

“Yes.”

She put it in desk drawer.

No reply.

Then three weeks later:

“Can Grandma call?”

I said not yet.

Why?

I wanted more time.

Was that safety or punishment?

I asked Dr. Kline.

She said:

“What concrete concern?”

Francesca had complied with no-contact.

No threats.

No gifts.

Letter appropriate.

Maybe controlled call could be safe.

I realized I was holding boundary partly because I wanted her to feel loss.

That was punishment.

I corrected.

Supervised ten-minute call.

Francesca cried when Emery appeared.

Did not make child comfort her.

Good.

“Hi, sweetheart.”

Emery said:

“You pushed me.”

“Yes.”

“Bad.”

“Yes.”

“You say I family now?”

“Yes.”

“Why before no?”

Francesca took long breath.

“Because I believed family had to come from blood. I was wrong.”

Good.

Then Emery:

“Grandpa said horse mine.”

“He was right.”

There.

Francesca surrendered ring fight emotionally.

Not legally—it was already done.

Then:

“Can I see you?”

Francesca looked at me through screen.

“I would like that, but your dad decides when it’s safe.”

Good.

No triangulation.

Call ended.

Then I asked Emery how she felt.

“Grandma old.”

Excellent.

Trauma processing, child style.

Then Dante visited Francesca.

Later told me:

“She cried for an hour.”

“Not my problem.”

“Maybe.”

Then:

“She still thinks Dad humiliated her.”

“She can think.”

“Doesn’t mean act.”

Dante smiled.

“We’re all learning words.”

Then Hospitality hit targets under new CFO.

Debt reduced.

Dante retained job.

No one took his division.

His fear was partly imaginary.

Then he told me:

“I spent years thinking Emery getting something meant I was losing something.”

“Yes.”

“Mom taught me that.”

“Dad also built us in competition.”

Fair.

No saint.

Then the family slowly moved toward a new arrangement.

Francesca no longer chair.

I no longer controlled every family vote.

Dante no longer treated Hospitality like birthright.

Emery had shares she did not understand and should not have to.

The hardest fight was becoming less financial.
