Chapter 16 - Dante’s Shortfall

Dante’s hotels missed a debt covenant.
Not default requiring seizure.
A leverage ratio breach.
Manageable if disclosed.
Dante delayed telling parent board for nine days while he negotiated waiver.
Nine days.
Small compared to Francesca’s history.
Still wrong.
New outside CFO reported.
Dante was furious.
“Why didn’t you give me until Friday?”
“Because policy requires immediate notice.”
Exactly.
Board reviewed.
Dante admitted.
“Why hide?”
“Because I thought I could fix.”
Every DeLuca sentence.
Francesca closed eyes.
I almost laughed.
Then she said:
“You tell them immediately.”
Dante stared at her.
“You’re lecturing me?”
“Yes.”
“Unbelievable.”
“Correct.”
Then board required remediation.
No removal.
Reduced discretionary authority.
Monthly reporting.
Dante accepted after argument.
Then he came to my house.
“I hate this family.”
“Get in line.”
Emery was building block stable.
Dante sat beside her.
“Uncle Dante trouble?”
“Yes.”
“What do?”
“Didn’t tell people something fast enough.”
“Why?”
“I thought I could fix it.”
Emery nodded wisely.
“Daddy do that.”
I glared.
Dante laughed until he cried.
Then:
“Grandma too.”
She was devastating.
“Yes.”
“Then don’t.”
There.
Family governance consultant: six-year-old.
Then Dante asked whether A-24 had made family healthier.
“Partly.”
“It also made us insane.”
“We were insane before.”
Fair.
Then Hospitality lender granted waiver with pricing adjustment.
Cost.
No collapse.
Dante’s bonus reduced.

Then Francesca privately apologized to outside CFO for criticizing him.
Progress.
Then Emery’s custodian refused a proposal by family to use some dividend to buy a vacation property for all grandchildren.

Would entangle her funds with family-controlled asset.
No.
I supported.
Francesca supported.
Dante complained.
Then stopped.
New habits.
Then a more serious issue:
A tabloid obtained partial cap table and published Emery’s approximate stake.
Privacy breach.
Source unknown.
Could be court filing redaction failure.
Investigation showed clerk error in a public exhibit attachment by one law firm, not family leak.
The firm notified court, corrected.
Information already online.
We could not erase.
Then security concerns?
A wealthy child can attract risk.
Rafe recommended modest increase in school transport safeguards, not fortress.
We implemented.
No kidnapping subplot.
No specific threat.
Good.
Then Francesca blamed court openness.
I said:
“Transparency has costs.”
She replied:
“So does secrecy.”
Progress.
Then she asked whether ring should be moved.
Already secure.
Fine.
Then Claire’s sister visited and asked why Francesca was back in Emery’s life.
“Because Emery wanted some contact and Francesca has respected boundaries.”
“She hit her.”
“Yes.”
“You forgive?”
“No.”
Then:
“So why?”
“Contact isn’t a verdict.”
Good.
Claire’s sister remained skeptical.
Allowed.
Then Emery overheard.
“Grandma bad?”
“No.”
That answer too simple? I corrected.
“She did something bad and she’s working to behave better.”
Then:
“Aunt Claire—” Actually Claire's sister. “Aunt Megan mad.”
“Yes.”
“Can be.”
Good.
No forced family unity.
Then Francesca told me:
“Claire’s sister hates me.”
“She’s allowed.”
Francesca sighed.
“Everyone is allowed too much now.”
I laughed.
Then:
“I’m joking.”
Mostly.
Then board evaluation of me.
Performance strong.
No further governance incidents.
The censure from bank email remained in record.
Not erased.
Fine.
Then Sterling informed me my conditional proxy access would remain available but not needed. No move to restore as personal default.
Good.
Then Dante’s mistake became a teaching case in company training, anonymized.
He hated it.
Then said:
“Fine.”
Progress through humiliation.
Then family Christmas approached again.
One year after original dinner.
Question:
Would Francesca attend?
My house.
The chair.
The table.
Emery wanted her.
I did not.
Not yet.
We compromised:
Christmas Eve lunch at a hotel private room.
Christmas morning at home without Francesca.
Emery accepted.
Francesca accepted.
No one demanded symbolic return to original scene.
Good.
At lunch, Francesca gave Emery no expensive gift.
A wooden brush for the rocking horse? Weird. Instead a children’s book about horses.
Fine.
Then she looked at me.
“Next year?”
“Maybe.”
She nodded.
Not yet.
The family learned to live inside maybe.
Then at home Christmas night, Emery sat in the same chair Francesca had shoved her from.
No speech.
I noticed.
She did not.
She ate potatoes.
That was healing.
Then rocking horse sat near fireplace.
Repaired crack visible.
No ring.
No secret.
The inheritance war had entered ordinary life.
But Francesca still had one unresolved wound: being removed as chair.
She accepted Emery.
She accepted A-24.
