Chapter 14 - THE ONE DEAL TOO FAR

The transaction was called Harbor Seven.
Four years earlier, Valdieri Group sold a small waterfront warehouse to Bellamare Properties for $11.2 million.
Independent retrospective valuation:
Between $13.5 and $15 million at the time, depending environmental assumptions.
Why the lower price?
The warehouse needed remediation.
Bellamare agreed to assume cleanup risk.
Could justify discount.
Then the conflict.
Regina participated in approving the sale for Valdieri Group while owning thirty-one percent of Bellamare.
She disclosed ownership generally but not in the specific transaction approval record.
Worse:
The environmental report used to justify the discount came from a consultant hired by Bellamare.
Not fraudulent on its face.
But no seller-side independent environmental review.
Then two years later Bellamare remediated the property for $900,000 and sold it for $18 million.
Profit.
Real.
How much attributable to market appreciation?
Some.
How much to undervaluation?
Disputed.
Hawthorne did not accuse Regina of stealing $6.8 million.
They alleged self-dealing process failure and sought equitable adjustment.
Mediation produced a settlement.
Bellamare would pay Valdieri Group $2.1 million to resolve valuation and conflict claims without admission of fraud.
Regina personally contributed according to her partnership share.
Painful.
Not ruinous.
Then fiduciary removal.
Hawthorne argued Harbor Seven plus the concealed DNA scheme showed Regina repeatedly used stewardship to avoid independent review when personally conflicted.
Her lawyers argued:
She had already lost my line stewardship.
She completed the crisis years.
She should retain an honorary foundation advisory role.
The court disagreed on fiduciary positions.
Permanent removal from protected stewardship, family-office authorization, and trust-beneficiary administration.
No ban from ordinary shareholder rights.
No ban from charity volunteering.
No stripping of wealth.
Authority.
Then sentencing in the criminal case.
Regina was sixty-six, no prior record, convicted of document fraud involving family deception over years.
Judge imposed a short custodial sentence partly suspended, followed by home confinement/probation, restitution for document-related costs, and no direct contact with Elena or the twins unless later agreed through family court/therapy.
Not decades.
Consequences.
She cried only when the no-contact condition was read.
That surprised me.
Then my diversion.
Completed.
Charge dismissed.
I had done anger work, forty hours community service at a family legal-aid fund? Could be perceived as performative. I completed service through a city food distribution nonprofit chosen by program, no publicity.
Done.
Then Project Sable.
With audit complete and reserve available, independent fiduciaries revised valuations, removed conflicted family service agreements, and approved a smaller $218 million refinancing package instead of $240 million.
Why smaller?
Some collateral values were adjusted down.
Still adequate.
No catastrophe.
Family properties stayed solvent.
Two assets sold cleanly.
Debt reduced.
Regina’s nightmare did not happen.
Then employee/community co-review.
They demanded stronger vendor conflict rules.
Approved.
No communist takeover, as one cousin dramatically called it.
I removed him from the meeting for being unserious.
Then Elena.
She brought Theo and Felix to my house without staying overnight for the first time.
That was trust.
Small.
The boys discovered my piano.
Neither could play.
Both attacked it.
I regretted everything.
Then Theo found a photograph of Regina and me from years earlier.
“Grandma?”
“Yes.”
“Bad Grandma?”
I paused.
“She did bad things.”
“Is she bad?”
Hard.
“I don’t want to teach you people are only one thing.”
Felix said:
“She knock coins.”
“Yes.”
“That bad.”
“Yes.”
Simple.
Then:
“Can we see?”
“Not now.”
They accepted.
Then Elena picked them up.
At the door she said:
“They asked me too.”
“What did you say?”
“Same.”
We were becoming parents before we became anything else.
Good.
Then she asked:
“Do you still love her?”
“My mother?”
“Yes.”
I thought.
“Yes.”
Elena nodded.
“That must be awful.”
It was.
Because family betrayal is easier when the betrayer becomes a monster.
Regina remained my mother.
She had sat beside me through Enzo’s death.
Saved the company.
Taught me to tie a tie.
Forged my signature.
Erased my sons.
