Chapter 18 - THE APPEAL
Bramley won part of his appeal.
The false-certification conviction remained.
The property-sale fraud conviction did not.
Why?
The jury instruction had allowed conviction without adequately distinguishing:
A conflicted transaction.
A below-market transaction.
An intentionally fraudulent transaction.
Those are not the same.
The appellate court ordered a new trial on that count.
Prosecutors declined to retry after restitution had already been resolved civilly and evidence of criminal intent was mixed.
So the fraud count disappeared.
Bramley was not innocent of every governance failure.
He was also not legally guilty of that charge anymore.
Calder hated it.
Then accepted it.
I asked:
“Would you want a court to ignore a bad jury instruction if it was you?”
“No.”
“Then?”
“I know.”
Law should work for people we resent.
Bramley’s sentence was reduced.
He completed custody earlier.
No executive authority returned.
No founder proxy.
No hospital contact.
No access to the triplets.
He moved into a condominium overlooking the river.
Comfortable.
No empire.
Still wealthy.
Cecily saw him once.
Calder did not.
I definitely did not.
Then the Continuity Trust modernization began.
Eveline’s fifty-two-percent protected block had been designed during a founder-family era.
Sutton Biomedical was now public.
Professional management.
Independent board.
Employee shareholders.
Institutional investors.
Should a dead founder’s descendants retain fifty-two protected points forever?
Eveline’s own documents said no.
Review every ten years.
Reduce family protection when governance matures.
Calder smiled reading that.
“Mom didn’t trust us either.”
Smart woman.
The first reform reduced family-descendant protected power.
Not all at once.
Complex tax and shareholder issues.
Independent process.
Triplets would grow up with less governance than Bramley feared.
That would eventually become the most satisfying irony.
